Terms of Service

1. Parties and scope
These Terms of Service (“Terms”) form the agreement between you (“Customer”) and NeurFlow Oy (Business ID: 3597951-1, Helsinki, Finland, “NeurFlow”) regarding the use of the Arctura platform (“Service”). The Service includes the web dashboard, API interfaces, TV wallboard, notification channel integrations (Slack, Teams, Discord) and related functions.
Order of precedence:Terms > Data Processing Agreement (DPA) > Acceptable Use Policy (AUP) > Refund and Cancellation Policy > any Enterprise / SOW / SLA addenda. In case of conflict, the document with higher precedence prevails.
Use of the Service requires acceptance of these Terms. By creating an account or subscribing on behalf of a company or organisation, the person confirms that they have the authority to bind that customer to these Terms.
2. Description of the service
Arctura is an operational intelligence platform that collects, analyzes and visualizes telemetry data from vehicles, marine vessels, energy systems, forestry machinery and industrial equipment. The Service provides predictive analytics, AI agent-based alerts and real-time situational awareness. The Sovereignty Switch allows Customers to choose: in EU mode, AI processing uses only EU-based models (data stays in Europe); in Global mode, maximum performance.
3. Account creation and use
The Customer must provide accurate information when registering. The Customer is responsible for the security of their account and all activity through it. The Customer agrees to notify NeurFlow immediately of any suspected security breaches in accordance with GDPR and the NIS2 Directive. Both parties are responsible for their own security; for personal data processing see the Data Processing Agreement (DPA).
4. ⚠️ Liability limitation
IMPORTANT LIMITATION:
Arctura provides data analysis, predictive recommendations and AI-based alerts. Final operational authority and liability always rests with the asset holder, driver or operator.
NeurFlow Oy is not liable for indirect damages, loss of production, third-party claims or any other harm arising from actions taken or omitted on the basis of recommendations, forecasts or alerts produced by the Service.
NeurFlow Oy's total liability is limited to the lesser of the amount paid by the Customer for the Service in the preceding 12 months or EUR 5,000.
This limitation does not apply to wilful misconduct or gross negligence, or to liability that cannot be limited by law.
5. Service level (SLA)
NeurFlow aims for 99.5% availability. Scheduled maintenance is announced at least 24 hours in advance. Enterprise subscriptions may include a separate SLA agreement defining credit procedures and response times.
6. Confidentiality
Both parties undertake to keep the other party's confidential information — including user data, API keys, Service configuration and commercial negotiations — confidential during the term and after termination. Disclosure is permitted only where legally required or with the other party's written consent.
7. Intellectual property
The Service software, algorithms, AI models, user interface and documentation are the property of NeurFlow Oy. The Customer receives a limited, non-exclusive, non-transferable right to use the Service for the contract period. Customer data remains the Customer's property — NeurFlow does not use Customer data to improve services for other customers without explicit consent.
8. Pricing and payment
Prices are as stated on the website or in a separate agreement. Subscriptions are billed monthly or annually in advance via Stripe. Prices include applicable local VAT/tax where required; other taxes are the Customer's responsibility. If payments are overdue by more than 30 days, NeurFlow may restrict use of the Service; statutory interest applies. Price changes are announced at least 30 days in advance.
9. Termination
Either party may terminate the contract with 30 days' notice. For material breach, the contract may be terminated immediately. Upon termination, the Customer may request a data export within 30 days, after which NeurFlow will delete the data.
10. Force majeure
Neither party is liable for delays or failures due to force majeure (war, pandemic, natural disaster, energy outage, cloud provider disruption, cyber attack or regulatory action).
11. Governing law and dispute resolution
Finnish law applies to these Terms. Disputes are resolved first by negotiation. If no agreement is reached, disputes are settled in the District Court of Helsinki.
12. Changes to terms
NeurFlow reserves the right to update these Terms. Material changes are notified by email and/or via the Service at least 30 days before they take effect. Continued use of the Service constitutes acceptance.
